Terms of Service

Plain-language terms governing your use of ThriveMatch. Please read carefully before using the platform.

1.Agreement to Terms

By accessing or using ThriveMatch (the 'Platform'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms in their entirety, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and ThriveMatch, Inc. ('ThriveMatch', 'we', 'our', or 'us').

2.Eligibility

You must be at least 18 years of age to create an account or use the Platform. By creating an account, you represent and warrant that you are 18 years of age or older, that you have the legal capacity to enter into these Terms, and that all information you provide to us is accurate and complete. If you are a clinician, you further warrant that you hold a valid, active professional licence in the jurisdiction(s) where you practise.

3.Description of Services

ThriveMatch is a digital mental health platform that facilitates connections between individuals seeking mental health support ('Seekers') and licensed mental health professionals ('Clinicians'). The Platform also offers peer matching, community features, journaling tools, progress tracking, resource libraries, and secure communication tools. ThriveMatch is a technology platform. We are not a healthcare provider, and the Platform does not constitute the practice of medicine, psychology, therapy, social work, or any other licensed professional service. Clinical services are provided independently by Clinicians, not by ThriveMatch.

4.Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@thrivematch.com if you become aware of any unauthorised access to your account. ThriveMatch will not be liable for any loss or damage arising from your failure to maintain account security. You may not create accounts using automated means, create multiple accounts for fraudulent purposes, or create an account on behalf of another person without their explicit authorisation.

5.Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Impersonating any person or entity, or falsely claiming affiliation with any person or entity

• Using the Platform to harass, abuse, threaten, or harm others

• Uploading or transmitting any content that is unlawful, defamatory, obscene, or otherwise objectionable

• Attempting to gain unauthorised access to any portion of the Platform or systems

• Using the Platform for any commercial solicitation without our prior written consent

• Scraping, crawling, or extracting data from the Platform by automated means

• Sharing another user's private information without their consent

• Using the Platform in any manner that could interfere with, disrupt, or negatively affect the Platform or servers

Violation of these prohibitions may result in immediate termination of your account and may expose you to civil or criminal liability.

6.User Content

You retain ownership of content you create and submit on the Platform, including journal entries, messages, profile information, and resources. By submitting content, you grant ThriveMatch a limited, non-exclusive, royalty-free licence to use, store, display, and reproduce that content solely for the purpose of operating and improving the Platform. You represent that you have all rights necessary to grant this licence. ThriveMatch reserves the right to remove any content that violates these Terms or our Community Guidelines.

7.Payments and Subscriptions

Certain features of the Platform may require payment. All fees are disclosed before purchase. Subscription fees are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by applicable law or as otherwise stated in our Refund Policy. We reserve the right to change fees with 30 days' advance notice. Continued use of the Platform after a price change constitutes acceptance of the new fees. ThriveMatch uses third-party payment processors and does not store your full credit card information.

8.Intellectual Property

The Platform, including all software, designs, text, graphics, logos, and content created by ThriveMatch, is owned by ThriveMatch or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or create derivative works based on our Platform without our explicit written permission.

9.Disclaimers

THE PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ThriveMatch does not warrant that: (a) the Platform will be uninterrupted, error-free, or secure; (b) any information obtained through the Platform will be accurate or reliable; or (c) defects will be corrected.

THE PLATFORM IS NOT A CRISIS SERVICE. IF YOU ARE EXPERIENCING A MENTAL HEALTH EMERGENCY, CALL 988 (SUICIDE AND CRISIS LIFELINE), 911, OR GO TO YOUR NEAREST EMERGENCY ROOM.

10.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRIVEMATCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO THRIVEMATCH IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). Some jurisdictions do not allow limitations of liability for certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11.Termination

You may terminate your account at any time through account settings. ThriveMatch may suspend or terminate your account immediately, without notice, if we determine in our sole discretion that you have violated these Terms, if your account has been inactive for 24 consecutive months, or if continuing your account poses a risk to other users or the Platform. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including Sections 8, 10, 11, 12, and 13) will do so.

12.Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in San Francisco, California. You waive any right to a jury trial or to participate in a class action lawsuit.

13.Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email and a platform notice at least 30 days before changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and may close your account.
